Read these terms carefully before using the ViralAdsNet platform. By using our services, you agree to be bound by these terms.

1 Introduction
Welcome to ViralAdsNet (the "Platform"), a programmatic advertising technology company that connects Advertisers and Publishers through our advanced ad exchange network. By registering for, accessing, or using the Platform, you ("User", "Advertiser", or "Publisher") agree to comply with and be legally bound by these Terms of Service (the "Terms").
If you do not agree to these Terms, you must not register for or use the Platform. These Terms are effective as of the date you first accept them or begin using the Platform.
2 Definitions
- Platform: The ViralAdsNet website, dashboard, APIs, and associated advertising technology services.
- Advertiser: Any individual or entity that uses the Platform to purchase advertising space and run promotional campaigns.
- Publisher: Any individual or entity that uses the Platform to monetize digital inventory by displaying ads.
- Ad Campaign: A set of advertisements created by an Advertiser, targeting specific audiences and placements.
- Impressions / Clicks: The metrics used to measure ad performance and bill Advertisers or pay Publishers.
3 Eligibility and Account Registration
To use the Platform, you must be at least 18 years of age and have the legal capacity to enter into binding contracts. You must provide accurate, current, and complete information during registration. You are solely responsible for maintaining the confidentiality of your login credentials.
We reserve the right to verify your identity and reject applications from entities that do not meet our compliance standards.
4 Advertiser Terms
4.1 Campaign Management
Advertisers are solely responsible for the creative content, targeting parameters, and landing pages associated with their Ads. All Ad Campaigns must comply with our Advertising Policies.
4.2 Bidding and Spend
Advertisers participate in real-time bidding (RTB) auctions. You acknowledge that placing a bid is a binding financial commitment. Your account balance must be sufficient to cover current and future ad spend.
4.3 Ad Quality
All ads must be clearly identifiable as advertisements. Misleading, deceptive, or malicious ads (including those containing malware) are strictly prohibited.
Advertisers found violating our ad quality policies will have their campaigns paused and may face immediate account suspension without prior notice.
5 Publisher Terms
5.1 Inventory Quality
Publishers must provide high-quality, original digital content. Traffic must be generated by legitimate human users. Any use of bots, auto-refresh scripts, or fraudulent traffic generation methods is strictly forbidden.
5.2 Ad Placement
Ads must be placed in compliance with industry standards (e.g., IAB guidelines). Ads should not be placed in a way that forces clicks, misleads users, or interferes with the user experience.
5.3 Anti-Fraud Commitment
ViralAdsNet employs advanced fraud detection algorithms. We monitor for invalid traffic (IVT), click farms, and impression laundering. Publishers found generating invalid traffic will forfeit all unpaid earnings and face immediate termination.
6 Prohibited Content and Activities
The following content is strictly prohibited on the ViralAdsNet Platform (for both Advertisers and Publishers):
- Illegal drugs, substances, or paraphernalia.
- Hate speech, discrimination, or harassment based on race, religion, gender, or sexual orientation.
- Adult content, pornography, or sexually explicit material.
- Violence, gore, or threats of harm.
- Counterfeit goods, scams, or phishing schemes.
- Malware, viruses, or any harmful code.
- Unauthorized gambling or lottery sites.
- Infringement of intellectual property rights.
We reserve the right to remove any content that violates this policy without liability to the User.
7 Intellectual Property Rights
The ViralAdsNet Platform, including its source code, algorithms, visual design, trademarks, and brand identity, is the exclusive property of ViralAdsNet. Users are granted a limited, non-exclusive, non-transferable license to access and use the Platform for their intended business purposes.
Advertisers and Publishers retain all ownership rights to their respective Ad creatives and Publisher content; however, by submitting them to the Platform, you grant ViralAdsNet a worldwide, royalty-free license to display, distribute, and monetize that content as part of the Platform's services.
8 Payment Terms
For Advertisers
All advertising costs are pre-paid. Advertisers are billed based on the actual Impressions (CPM) served during the campaign period. Invoices are generated on a daily/monthly basis.
For Publishers
Publishers can request a withdrawal once they reach the minimum payout threshold of $5. Once a withdrawal request is submitted, it is paid out within 7 days. Available withdrawal methods are shown directly in your publisher dashboard.
Any chargebacks or disputed transactions initiated by Advertisers will result in immediate suspension of their account and may be subject to legal action.
9 Limitation of Liability
To the maximum extent permitted by law, ViralAdsNet, its affiliates, officers, and employees shall not be liable for any direct, indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Platform.
The Platform is provided on an "as is" and "as available" basis. We do not guarantee that the Platform will be uninterrupted, error-free, or secure. ViralAdsNet's total liability to any User shall not exceed the total amount of fees paid by the User to ViralAdsNet in the preceding 12 months.
10 Indemnification
You agree to indemnify, defend, and hold harmless ViralAdsNet and its affiliates from any and all claims, liabilities, damages, losses, and expenses (including legal fees) arising from: (i) your use of the Platform; (ii) your violation of these Terms; (iii) your violation of any third-party rights; or (iv) your Ad Campaigns or Publisher content.
11 Termination
ViralAdsNet reserves the right to terminate or suspend your account and access to the Platform at any time, with or without cause, and with or without notice.
Upon termination, all rights granted to you under these Terms will immediately cease. You must cease all use of the Platform, and any pending payouts will be processed subject to our verification of valid traffic and compliance.
12 Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which ViralAdsNet is headquartered, without giving effect to any conflict of laws principles.
Any dispute arising out of these Terms shall first be resolved through good-faith negotiation. If the dispute cannot be resolved within 30 days, it shall be submitted to binding arbitration in accordance with the rules of the relevant local arbitration authority.
13 Changes to These Terms
ViralAdsNet reserves the right to update or modify these Terms at any time. We will notify Users of material changes by posting the updated Terms on the Platform and, where appropriate, via email.
Your continued use of the Platform after the effective date of any changes constitutes your acceptance of the revised Terms. It is your responsibility to review these Terms periodically.
